1. Acceptance of Terms
By accessing and using the services provided by NukyLabs LLC ("Company," "we," "us," or "our"), you ("Client," "you," or "your") accept and agree to be bound by the terms and provisions of this agreement ("Terms"). These Terms constitute a legally binding agreement between you and NukyLabs LLC.
If you do not agree to these Terms, you must not access or use our services. Your continued use of our services constitutes acceptance of any modifications to these Terms.

3. Description of Services
NukyLabs LLC provides AI automation, custom software development, and enterprise integration services including but not limited to:
- Workflow automation using platforms like Zapier, Make.com, n8n, and custom solutions
- Custom chatbot and AI agent development using GPT-4 and other AI technologies
- MVP (Minimum Viable Product) development for web and mobile applications
- Website, CRM, and ERP automation solutions
- Custom software development and technical consulting
- Browser automation and data processing solutions
- API integrations and third-party service connections
- Cloud infrastructure setup and deployment services
4. Service Packages and Pricing
4.1 Automation Packages
- Starter Package: $699 (originally $1,199) - Up to 5 automation flows
- Premium Package: $999 (originally $1,699) - Includes custom APIs and advanced logic
- Enterprise Package: Custom pricing based on scope and requirements
4.2 MVP Development Packages
- MVP Starter: $999 (originally $1,599) - Web application with modern tech stack
- MVP Premium: $1,999 (originally $2,599) - Cross-platform web and mobile apps
- Enterprise MVPs: Custom scope and pricing for complex applications
4.3 Additional Services
- Feature enhancement for existing software
- Remote technical team services on retainer
- Technical consulting and architecture review
5. Payment Terms and Conditions
5.1 Payment Processing
- All payments are processed securely through Stripe
- We accept major credit cards, debit cards, and ACH transfers
- Payment must be completed before we start work on your project
- All prices are in USD unless otherwise specified
5.2 Payment Schedule
- Fixed-price projects require 100% payment upfront
- Enterprise projects may have custom payment schedules as agreed in writing
- Retainer services are billed monthly in advance
- Late payments may incur additional charges of 1.5% per month
5.3 Refund Policy
- We offer a 100% refund guarantee if we fail to deliver as promised
- Refund requests must be made within 30 days of the agreed delivery date
- Partial refunds may be provided for partially completed work at our discretion
- Refunds are processed through the original payment method within 5-10 business days
6. Project Workflow and Deliverables
6.1 Project Initiation
- All projects begin with a detailed requirements discussion
- We provide written proposals outlining scope, timeline, and deliverables
- Client must provide necessary access to platforms and systems
- Payment must be completed before development begins
6.2 Development Process
- Regular progress updates and communication throughout the project
- Client feedback and approval required at key milestones
- All code is developed in private repositories with full client access
- Testing and quality assurance performed before delivery
6.3 Delivery and Acceptance
- Deliverables are provided according to agreed specifications
- Client has 7 days to review and request reasonable modifications
- Final acceptance constitutes completion of the project
- Post-delivery support may be available as a separate service
7. Intellectual Property Rights
7.1 Client Ownership
- Client retains ownership of all proprietary data, content, and business information
- Custom code and solutions become client property upon full payment
- Client receives full source code and documentation for custom developments
- Client may use, modify, and distribute the delivered solutions without restriction
7.2 NukyLabs Retention
- We retain ownership of general methodologies, frameworks, and pre-existing IP
- We may use project experience as case studies with client approval
- We retain the right to use anonymized data for service improvement
- Third-party licenses and tools remain subject to their respective terms
7.3 Third-Party Components
- Open-source components are subject to their respective licenses
- Client is responsible for obtaining necessary licenses for proprietary tools
- We will identify all third-party dependencies in project documentation
8. Confidentiality and Data Protection
8.1 Non-Disclosure
- We maintain strict confidentiality regarding all client information
- All team members sign comprehensive Non-Disclosure Agreements
- Client data is protected with industry-standard security measures
- Confidentiality obligations survive termination of services
8.2 Data Security
- SSL/TLS encryption for all data transmission
- Secure cloud storage with access controls and monitoring
- Regular security audits and vulnerability assessments
- Compliance with GDPR, CCPA, and other applicable privacy laws
8.3 Data Retention
- Client project data retained for 7 years after project completion
- Data deletion available upon written request after project completion
- Backup data may persist for up to 90 days after deletion request
9. Client Responsibilities and Requirements
9.1 Access and Cooperation
- Provide timely access to necessary platforms, systems, and accounts
- Supply required credentials, API keys, and configuration details
- Respond to requests for information and feedback within reasonable timeframes
- Designate authorized representatives for project decisions
9.2 Content and Materials
- Provide accurate and complete project requirements
- Supply necessary content, images, and branding materials
- Ensure all provided materials comply with applicable laws
- Obtain necessary permissions for third-party content usage
9.3 Platform Requirements
- Maintain active accounts on required platforms (AWS, Google Cloud, etc.)
- Provide domain access for website deployments
- Ensure adequate platform resources and permissions
- Handle platform-specific billing and account management
10. Limitation of Liability
10.1 Liability Cap
NukyLabs LLC's total liability for any claims arising from or related to our services shall not exceed the total amount paid by the client for the specific project or service giving rise to the claim.
10.2 Excluded Damages
We are not liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Data loss or corruption not caused by our negligence
- Third-party service outages or failures
- Market changes or competitive disadvantages
- Costs of substitute services or solutions
10.3 Force Majeure
We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, internet outages, or third-party service failures.
11. Service Availability and Support
11.1 Service Levels
- We strive for maximum service availability but do not guarantee 100% uptime
- Planned maintenance will be communicated in advance when possible
- Emergency maintenance may be performed without prior notice
- Service level agreements may be established for enterprise clients
11.2 Support Services
- Initial support included for 30 days after project delivery
- Extended support available as a separate service agreement
- Response times vary based on issue severity and service level
- Support requests must be submitted through designated channels
12. Termination
12.1 Termination by Client
- Client may terminate services with written notice
- Completed work and deliverables will be provided
- Refunds handled according to our refund policy
- Client remains responsible for payment of completed work
12.2 Termination by NukyLabs
- We may terminate services for breach of terms or non-payment
- 30-day written notice provided except for material breaches
- Immediate termination for illegal activities or policy violations
- Completed work delivered upon termination
12.3 Effect of Termination
- All outstanding payments become immediately due
- Confidentiality obligations continue indefinitely
- Client retains rights to completed deliverables
- Data deletion may be requested after final payment
13. Ethical Standards and Restrictions
13.1 Prohibited Projects
We do not work on projects involving:
- Adult content or pornography
- Animal cruelty or exploitation
- Illegal activities or services
- Hate speech or discriminatory content
- Gambling or unregulated financial services
- Spam, phishing, or malicious software
13.2 Compliance Requirements
- All projects must comply with applicable laws and regulations
- Client responsible for ensuring legal compliance of their business
- We reserve the right to refuse projects that conflict with our values
- Ongoing projects may be terminated if compliance issues arise
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.
14.2 Dispute Resolution Process
- Good faith negotiation required before formal proceedings
- Mediation through American Arbitration Association if negotiation fails
- Binding arbitration in Wyoming for disputes exceeding $10,000
- Small claims court available for disputes under $10,000
14.3 Class Action Waiver
Both parties waive the right to participate in class action lawsuits or class-wide arbitration related to these Terms or our services.
15. Modifications and Updates
15.1 Terms Updates
- We reserve the right to modify these Terms at any time
- Material changes will be communicated via email and website notice
- Continued use of services constitutes acceptance of modified Terms
- Previous versions available upon request
15.2 Service Changes
- We may modify, suspend, or discontinue services with notice
- Pricing changes apply to new projects and renewals
- Existing projects continue under original terms unless modified by agreement
16. Miscellaneous Provisions
16.1 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
16.2 Entire Agreement
These Terms, together with individual service agreements and our Privacy Policy, constitute the entire agreement between you and NukyLabs LLC.
16.3 Assignment
We may assign these Terms and our rights/obligations to affiliates or in connection with a business transfer. Clients may not assign their rights without our written consent.
16.4 Waiver
Failure to enforce any provision does not constitute a waiver of that provision or any other provision of these Terms.
